Ethical reasoning before the compliance checkbox
Independent IBBC Capital draft content for self-study. Not affiliated with or endorsed by CFA Institute. New lessons await subject-matter review. No CFA designation or official PSM credit is awarded.
Learning goals
- Diagnose the conduct from the facts and relevant professional duties.
- Recommend a documented preventive and corrective response.
Draft · approximately 60 minutes, excluding further revision.
Decision case · fictional facts
A fictional committee is offered a large charitable donation if it selects a less suitable manager. The proposal appears lawful under the stated local rule; an employee argues that legality ends the ethical analysis. The board has not examined incentives, beneficiary interests or alternative funding.
Duties and competing interests
Ethical investment practice protects trust through integrity, competence, care, independent judgment and client-centered decisions. Rules provide a floor; incentives, loyalty pressures and normalization can still distort judgment. Ask who bears the risk and whether the decision could be explained transparently to those affected.
An ethical decision framework identifies facts and missing information, duties and stakeholders, alternative actions, consequences and a defensible choice, then reviews the outcome. It is a discipline for judgment rather than a device to rationalize the most profitable action. Members/candidates also have responsibilities to the profession and ongoing competence.
Decision, controls and remaining uncertainty
Separate the donation from manager selection, assess the investment mandate independently and disclose the incentive to the authorized committee. A benefit to the institution does not automatically justify exposing beneficiaries to unsuitable risk.
Record alternatives and reasoning; obtain compliance advice on applicable obligations. Reassess whether the control actually prevented influence. No legal conclusion follows merely from this fictional description.
Professional conduct enforcement has roles and procedural safeguards
CFA Institute Professional Conduct handles allegations under the Bylaws and current Rules of Procedure; the Disciplinary Review Committee provides peer-review functions. A complaint, required disclosure or other information can trigger inquiry. Investigation gathers relevant explanations and records; a reported allegation is not itself a finding of violation. Resolution, review/hearing and sanctions follow the applicable procedures rather than a supervisor’s personal judgment.
Possible sanctions can affect membership, designation use or exam participation under the relevant rules. Preserve evidence, respond truthfully and use the stated procedural rights rather than delete records or assume resignation makes an inquiry disappear. The exact process, deadlines and appeal rights depend on the applicable current rules; this original case does not determine anyone’s guilt.
Formula and assumptions
Identify facts → duties → affected parties → feasible action → evidence and follow-up
Compare with the model response after drafting
- Separate the donation from manager selection, assess the investment mandate independently and disclose the incentive to the authorized committee. A benefit to the institution does not automatically justify exposing beneficiaries to unsuitable risk.
- Record alternatives and reasoning; obtain compliance advice on applicable obligations. Reassess whether the control actually prevented influence. No legal conclusion follows merely from this fictional description.
Errors to catch
- Treating disclosure, client consent or a supervisor’s instruction as permission for prohibited conduct.
- Inventing missing facts or treating a potential concern as a proven legal violation.
