Translate a manager code into operating controls
Independent IBBC Capital draft content for self-study. Not affiliated with or endorsed by CFA Institute. New lessons await subject-matter review. No CFA designation or official PSM credit is awarded.
Learning goals
- Diagnose the conduct from the facts and relevant professional duties.
- Recommend a documented preventive and corrective response.
Draft · approximately 60 minutes, excluding further revision.
Decision case · fictional facts
A fictional asset manager claims adherence to an ethical code while its sales team promises guaranteed returns, its operations cannot reconcile cash, and employees send holdings through personal email. The board requests an implementation plan with accountable owners, independent checks and client communication. No formal code-compliance claim has been substantiated.
Duties and competing interests
An organization-level ethical code needs procedures, resources and supervision, not only individual declarations. Client benefit, independent judgment, competence, truthful timely communication and respect for governing market rules guide practical decisions. A broad principle must be translated into an owner, control, evidence and escalation path.
Map client loyalty to suitability/conflict policies; investment process to research approvals and limits; trading to fair allocation and best-execution review; compliance and risk to independent oversight and continuity; performance to supportable valuation; disclosure to clear material fees, risks and changes. Review the full applicable code before any formal claim.
Decision, controls and remaining uncertainty
Withdraw unsupported guarantees, reconcile cash independently and restrict data transmission to approved secure channels. Assign owners and deadlines, preserve evidence and prioritize immediate client/asset risk.
Test the revised controls and disclose material incidents as required through authorized processes. A board policy alone is not evidence of implementation, and this fictional example does not establish IBBC Capital compliance.
Assess firm practices against actual client duties
A fictional manager routes client trades to an affiliate without objective execution review, hides the resulting compensation, and values an illiquid holding at an unsupported marketing price. The Asset Manager Code addresses firm-level responsibilities; these facts raise client-interest, independence, valuation and disclosure concerns. A profitable outcome cannot cure an undisclosed conflict or misleading valuation.
Assess each behavior and its evidence separately. Affiliation alone does not establish a violation; the issue is whether client interests, execution, valuation and truthful communication are protected. Do not advertise compliance or external verification without the required factual basis.
Preventive controls need owners and testing
For the fictional manager, assign independent valuation review, documented execution comparisons, affiliate-conflict disclosure and fee reconciliation. Protect client data, define escalation, train staff and test whether controls operate. Senior accountability and periodic monitoring matter; a policy file without implementation is insufficient.
Map controls to the actual failure mechanism and verify remediation before making a compliance claim. A third-party service provider can perform tasks, but delegating tasks does not erase the manager’s responsibility for oversight.
Formula and assumptions
Identify facts → duties → affected parties → feasible action → evidence and follow-up
Compare with the model response after drafting
- Withdraw unsupported guarantees, reconcile cash independently and restrict data transmission to approved secure channels. Assign owners and deadlines, preserve evidence and prioritize immediate client/asset risk.
- Test the revised controls and disclose material incidents as required through authorized processes. A board policy alone is not evidence of implementation, and this fictional example does not establish IBBC Capital compliance.
Errors to catch
- Treating disclosure, client consent or a supervisor’s instruction as permission for prohibited conduct.
- Inventing missing facts or treating a potential concern as a proven legal violation.
