Employer loyalty, outside pay and supervision
Independent IBBC Capital draft content for self-study. Not affiliated with or endorsed by CFA Institute. New lessons await subject-matter review. No CFA designation or official PSM credit is awarded.
Learning goals
- Explain employment duties using mechanisms and limitations.
- Explain compensation conflicts using mechanisms and limitations.
- Explain supervisory systems using mechanisms and limitations.
Draft · approximately 25 minutes, excluding further revision.
Employment duties
Act for the employer’s benefit within professional duties without depriving it of skills, misusing confidential information or causing harm; employer loyalty does not justify harming clients.
Preparing to leave employment differs from competing or soliciting in breach of current duties; respect contracts and distinguish personal knowledge from employer records.
Compensation conflicts
Additional compensation that could conflict with employer interests requires written consent from relevant parties before acceptance; private side promises can alter incentives.
A client gift contingent on future performance differs from a modest unsolicited thank-you; assess incentive effects and follow required disclosure and approval procedures.
Supervisory systems
Supervisors must make reasonable efforts to ensure those under their authority comply; responsibility includes establishing, implementing and monitoring adequate procedures.
When a violation is suspected, investigate and strengthen controls rather than relying solely on assurances; inadequate systems may require declining or limiting supervisory responsibility until corrected.
Formula and assumptions
Outside-pay response: identify conflict → written consent → fair processes → supervisory monitoring
Original applied case: Employer loyalty, outside pay and supervision
- A fictional portfolio manager is offered a private bonus by one client if that account beats all others.
- Before accepting, assess conflicts and obtain required written consents; protect fair allocation and employer interests.
- The supervisor should monitor allocation patterns and incentive arrangements rather than treating disclosure alone as complete risk control.
Errors to catch
- Do not assume: Employer loyalty permits any client harm.
- Do not assume: Leaving employment permits taking all employer research records.
- Do not assume: Conflicting outside compensation needs no written consent.
