Alternative ownership, access and incentives
Independent IBBC Capital draft content for self-study. Not affiliated with or endorsed by CFA Institute. New lessons await subject-matter review. No CFA designation or official PSM credit is awarded.
Learning goals
- Explain distinct structures using mechanisms and limitations.
- Explain access methods using mechanisms and limitations.
- Explain fees and governance using mechanisms and limitations.
Draft · approximately 25 minutes, excluding further revision.
Distinct structures
Alternative assets include private capital, real assets and hedge-fund strategies with varying liquidity and governance; the category is not uniformly high return or low correlation.
Direct ownership offers control and concentrated responsibility for diligence and operations; a fund delegates decisions but introduces manager selection and fee exposure.
Access methods
Co-investing alongside a manager can alter fees and concentration, but access and allocation incentives require scrutiny; it does not automatically replace independent diligence.
A limited-partnership fund separates manager and investor roles under its agreement; commitments create future funding obligations even before all capital is called.
Fees and governance
Management fees and carried interest reward different bases; hurdle rates, catch-up and clawback provisions materially affect investor outcomes.
Lockups, redemption gates and valuation discretion can create liquidity and conflict risks; compare contractual terms rather than relying on a strategy label.
Formula and assumptions
Uncalled commitment=total commitment−capital called, adjusted for agreement terms
Original applied case: Alternative ownership, access and incentives
- An investor commits 10 million; 4 million has been called and no distributions offset calls.
- Uncalled commitment=6 million, which should enter liquidity planning.
- Current NAV is a different measure and cannot be inferred from the uncalled amount alone.
Errors to catch
- Do not assume: All alternatives guarantee low correlation.
- Do not assume: Direct investing delegates every operating responsibility.
- Do not assume: Co-investment never needs separate diligence.
